Terms of Service

These Terms of Service ("Terms") govern your access to and use of Oklamads (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity and its affiliates to these Terms.

1. The Service

Oklamads is an AI-assisted Google Ads management platform. It ingests search terms, ad assets, and campaign performance data from your Google Ads accounts, runs recurring AI-assisted reviews, and—upon your approval—applies keyword and ad-asset actions via the Google Ads API. AI classification and suggestions are generated by models from OpenAI, Anthropic, and Google.

The Service provides:

• Weekly AI classification of Google Ads search terms (positive / negative / ignore) with confidence scores
• Weekly detection of underexposed ad assets, with AI-generated replacement suggestions for your review
• Weekly performance alerts on campaign-level CPA, CTR, CPC, and ROAS with anomaly detection
• Weekly keyword suggestions based on your existing account data
• Keyword additions and negative keywords pushed to Google Ads upon your approval
• Daily metrics sync with a dashboard view of recent campaign performance
• Multi-account support, including Google Ads MCC hierarchies

2. Eligibility & Accounts

2.1 Eligibility

• You must be at least 16 years old to use the Service.
• You must have a valid Google Ads account to connect to the Service.

2.2 Account Creation

To use Oklamads, you must create an account either (a) by signing in with Google via OAuth 2.0, or (b) by registering with your email address and password. You must connect a valid Google Ads account to the Service — the Service cannot function without access to at least one Google Ads account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and OAuth tokens and for all activities that occur under your account. You agree to notify us immediately at support@oklamads.com of any unauthorized use of your account.

2.4 Account Termination

You may terminate your account at any time by canceling your subscription. We reserve the right to suspend or terminate your account if you violate these Terms.

3. Subscriptions, Billing & Taxes

3.1 Plans

We offer monthly and annual subscription plans. Current plans include:

• Basic — $50/month or $400/year
• Pro — $120/month or $950/year
• Enterprise — custom pricing with custom features

Prices are listed in USD and exclude any applicable taxes. See our Pricing page for current plans and features.

3.2 Free Trial

We offer a free trial period. A valid payment method is required to start the trial, but you will not be charged during the trial. At the end of the trial, your subscription will automatically convert to a paid plan and your payment method will be charged the then-current subscription fee, unless you cancel before the trial ends. You may cancel at any time before the end of the trial to avoid being charged.

3.3 Billing

Subscriptions renew automatically each month until canceled. You authorize us and our payment processor to charge the subscription amount and applicable taxes to your payment method on a recurring basis.

3.4 Changes to Plans

You may upgrade or downgrade your plan at any time. Changes take effect in the next billing cycle unless otherwise stated. If you upgrade mid-cycle, you will be charged a prorated amount.

3.5 Refunds

Except as required by law, fees are non-refundable and non-creditable once the billing period begins. If you cancel, you will retain access to the Service through the end of your current billing period.

4. Google Ads Integration

4.1 OAuth Authorization

By connecting your Google Ads account, you grant Oklamads permission to access your Google Ads data using the following scopes:

• https://www.googleapis.com/auth/adwords - Access to Google Ads API for reading search terms and managing keywords
• https://www.googleapis.com/auth/userinfo.email - Your email address for account identification
• https://www.googleapis.com/auth/userinfo.profile - Your basic profile information for account creation

4.2 Google Services & Policies

Your use of Google services via the Service is subject to Google's applicable terms and policies, including the Google API Services User Data Policy, including the Limited Use requirements. You are responsible for maintaining your Google Ads account(s) in good standing and for complying with Google's requirements and policies.

4.3 Data Access and Usage

Oklamads will only access and use your Google Ads data to provide the Service. We will not:

• Sell your data to third parties
• Use your data for advertising purposes
• Share your data with data brokers or advertisers
• Access other Google services (Gmail, Drive, etc.)

4.4 Revocation of Access

You may revoke Oklamads's access to your Google Ads account at any time by visiting your Google Account Permissions. Revoking access will prevent the Service from functioning but will not automatically cancel your subscription.

5. AI-Assisted Features and User Approval

Oklamads uses AI models from OpenAI, Anthropic, and Google to classify search terms, suggest keywords, generate replacement ad-asset suggestions, and analyze campaign performance. AI outputs are suggestions only and require your review and approval before they take effect in your Google Ads account.

You are solely responsible for reviewing and approving all keyword additions, ad asset changes, and other actions before they are applied to your Google Ads campaigns. Oklamads provides confidence scores and classification rationale to assist your decision-making, but you maintain full control over what gets applied.

We do not guarantee specific ad performance, ROI, or results from using the Service. Campaign performance depends on many factors outside our control, including your ads, landing pages, bidding strategy, and market conditions.

6. Acceptable Use

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Not misuse the Service, interfere with its normal operation, or access it using methods other than the interface and instructions we provide
• Not attempt to reverse engineer, decompile, or circumvent limits, security measures, or rate limits
• Not use the Service to violate Google Ads policies or applicable laws and regulations
• Not share your account credentials with unauthorized parties
• Not use the Service to transmit malware, spam, or malicious content
• Comply with all applicable laws and regulations

7. Customer Data & Privacy

7.1 Customer Data

You retain all rights to data you submit to the Service, including Google Ads identifiers, search terms, keywords, and performance metrics ("Customer Data"). You grant us a limited license to process Customer Data to provide the Service and related support.

7.2 Privacy

Our Privacy Policy explains how we collect, use, and protect personal information and Google user data. By using the Service, you also agree to our Privacy Policy.

7.3 Confidentiality & Security

We will protect Customer Data using reasonable technical and organizational measures, including:

• Authenticated symmetric encryption (AES-128-CBC with HMAC-SHA256) for sensitive data at rest, including Google OAuth tokens
• PBKDF2-HMAC-SHA256 key derivation for encryption keys
• Bcrypt hashing for user passwords
• TLS 1.2+ for data in transit
• Logging of authentication events (sign-in, registration, token operations) for monitoring and anomaly detection

However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security.

8. Availability & Support

We strive to operate the Service reliably with job tracking, automatic retries, and monitoring. Certain features or processing windows may be prioritized for higher-tier plans (Pro and Enterprise).

Support is provided via email at support@oklamads.com. We typically respond within 24 hours during business days (Sun-Thu, 9:00-18:00 GMT+3). Pro and Enterprise customers may receive priority support.

9. Beta Features

We may invite you to try features labeled as beta, preview, or early access. These are provided "as is," may be subject to additional terms, and may be modified or discontinued at any time without notice.

10. Intellectual Property

We own all rights, title, and interest in and to the Service, including software, documentation, designs, trademarks, and other intellectual property, excluding Customer Data and third-party content. No rights are granted except as expressly stated in these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its software, nor may you reverse engineer or attempt to extract the source code.

11. API & Programmatic Access

The Service does not currently offer a public API. We may introduce programmatic access in the future; if we do, additional terms (including authentication requirements, rate limits, usage quotas, and eligibility by plan) will apply and will be provided at that time.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE:

• Specific ad performance, ROI, or business results
• Uninterrupted, error-free, or completely secure operation
• Accuracy of AI classifications (they are suggestions only)
• Compatibility with all Google Ads account configurations
• Availability of any particular feature or functionality

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OKLAMADS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO OKLAMADS FOR THE SERVICE DURING THAT PERIOD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless Oklamads and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, losses, and expenses (including reasonable attorney's fees) arising from or relating to:

• Your use of the Service
• Customer Data you provide
• Violation of these Terms or applicable law
• Keywords you approve and add to your campaigns
• Your Google Ads account or campaigns

15. Suspension & Termination

15.1 Termination by You

You may terminate your account and cancel your subscription at any time through the Service settings or by contacting us. You remain responsible for fees through the end of the then-current billing period.

15.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Non-payment of fees
• Security risk or abuse
• Violation of these Terms or Google's policies
• Fraudulent activity
• Excessive API usage or rate limit violations

15.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. We will delete or de-identify personal data pursuant to our Privacy Policy and legal obligations. You may request a copy of your data before termination by contacting us.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of Israel, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the courts located in Israel for any disputes not subject to alternative dispute resolution.

Nothing in this section limits either party's ability to seek injunctive relief or enforce intellectual property rights.

17. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If changes are material, we will provide notice by:

• Posting an updated version on this page
• Updating the "Last updated" date above
• Sending an email to your registered email address

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Oklamads regarding the Service and supersede all prior agreements and understandings, whether written or oral.
